Atlantia, yes to the extension for the CDP offer on Aspi, if it is improved it will go to the shareholders’ meeting

by admin

MILANO – No twist from the board of Atlantia. In fact, the board of directors resolved to grant the extension to the consortium led by the CDP (as was largely the case) by 27 March. Remembering that, if a proposal is deemed to be ameliorative, it will be submitted to the vote of the shareholders.

In particular, we read in a note, the group indicates that “in the event of concrete developments, the new offer has a period of validity such as to allow it to be submitted for examination by the shareholders’ meeting, after having assessed its consistency with the social interest “. In this regard, Atlantia recalls that the process was already envisaged by the demerger project approved by the board of directors on 14 December last and by the shareholders’ meeting on 15 January 2021. An emphasis probably deemed appropriate, after Sabrina Benetton’s resignation from the board, also on the basis of mutual “discomfort”.

The resignation of Gilberto’s daughter from the board of Atlantia will be reinstated by a new director elected in the assembly of 28 April, already scheduled to approve the 2020 financial statements. also pronounce on the sale en bloc of 88% of Aspi thus blocking the non-proportional demerger procedure (in turn subject to an extension, which must be voted on by the shareholders’ meeting called for 29 March).

The previous proposal of the Cdp-Blackstone-Macquarie consortium had valued 100% of Aspi 9.1 billion, adding the request for guarantees against risks linked to previous events (not only the Morandi bridge). On the board of directors of February 26, Atlantia had rejected that proposal but at the same time had given a mandate to top management to continue to negotiate. From the new offer, the group expects “substantial improvements needed”. Another ten days to see the cards.
