Carige back to Piazza Affari: green light from Consob to prospectus

For Banca Carige the return to Piazza Affari is approaching. Consob has authorized the publication of the prospectus relating to the admission to trading on the Mercato Telematico Azionario (MTA) of the bank’s ordinary shares (ISIN code IT0005428195) deriving from the capital increase approved by the extraordinary shareholders’ meeting of 20 September 2019 and of the “Banca Carige SpA 2020-2022 Warrants” assigned free of charge to the shareholders who have subscribed, as part of the capital increase, shares issued under the third tranche. This is learned in a note from the Ligurian bank.

The trading of the securities issued or guaranteed by the company has been suspended from 2 January 2019 as a consequence of the Consob resolution in the wake of the ECB’s decision to place the Ligurian bank in extraordinary administration (procedure concluded on 31 January 2020) and the probable loss of the possibility of provide a complete information framework from Carige. Following the authorization of the publication of the prospectus, necessary for the restoration of a correct information framework, Consob also ordered the revocation of the suspension resolution. The revocation resolution will come into force on July 27th.

As a result of the revocation, in addition to the negotiation of the shares, the negotiation of the Warrants and the subordinated loan “Banca Carige SpA 2019-2029 Callable Fixed Rate with Reset Tier II” (the “Bond”) will start, for a total nominal 200 million euro, fully subscribed by leading institutional investors, with characteristics suitable for being included in the bank’s regulatory capital.
