The board of directors of Exor, the holding company of the Agnelli group, has decided to separate the roles of chairman and chief executive officer. Ajay Banga has been appointed as chairman and senior non-executive director of the Board with immediate effect, while John Elkann will continue to maintain the operational leadership of the company in his role as chief executive officer.

The Exor shareholders’ meeting also approved the 2021 financial statements and expressed a positive opinion on the 2021 remuneration report. The distribution of a dividend of ā‚¬ 0.43 per share was also approved, for a maximum amount of approximately 99 million. The dividends will become payable on June 22, 2022. The shareholders’ meeting also appointed Axel Dumas, chief executive officer of Herme’s International, to the board of directors, who will be Non-Executive Director for a term of one year. Due to other commitments, Joseph Bae will resign from the Exor Board of Directors and the Compensation and Nomination Committee. John Elkann said: ā€œWe are sincerely grateful to Joseph Bae for his contribution to our Board and warmly welcome Axel Dumas. Axel leads a family business now in its sixth generation, which is not only a symbol of excellence and tradition, but is also appreciated for having successfully achieved a path of renewal and change Ā». The shareholders’ meeting also authorized the board of directors to repurchase shares of the Company on the market for a maximum amount of 500 million euro and for the following 18 months from the date of the meeting. Finally, Ernst & Young Accountants LPP was appointed auditing company for the 2022 financial statements and Deloitte Accountants BV was appointed independent external auditor in charge of auditing the annual accounts for the financial year 2023.
