Mediaset, green light for the shareholders to move to the Netherlands

MILANO – The extraordinary meeting of Mediaset approved the transfer of the company’s registered office to the Netherlands to be carried out by adopting the legal form of a naamloze vennootschap governed by Dutch law and a new statute.

A move that also the partner Vivendi had anticipated to endorse, after the agreement with which the Berlusconi family and the group of the financier Bolloré laid down their arms after a long financial and legal war.

In today’s meeting, a note from Biscione specified, they participated by proxy for a number of shares equal to 81.81% of the share capital. 95.57% of the shares represented voted in favor of the proposal.

Following the transfer, the Mediaset shares will continue to be listed on the Italian Stock Exchange and Mediaset’s tax residence, as well as the central administration, will remain in Italy.

The transfer provides that shareholders who have not approved the transaction can exercise the right of withdrawal, obtaining an equivalent value of 2.18 euros per share (2.868 euros the current stock market price), a value which will however be reduced by virtue of the 30 cent dividend. per share approved today by the shareholders’ meeting and which will be paid on 21 July next.

In addition to approving the 2020 financial statements, the shareholders elected the new board of directors which is composed of Fedele Confalonieri (chairman), Pier Silvio Berlusconi, Marco Giordani, Gina Nieri, Niccolò Querci, Stefano Sala, Marina Berlusconi, Danilo Pellegrino, Carlo Secchi, Marina Brogi, Alessandra Piccinino, Stefania Bariatti (taken from the majority list presented by the Fininvest shareholder) and Giulio Gallazzi, Costanza Esclapon de Villeneuve, Raffaele Cappiello (from the minority list of the funds).
