UniCredit: bod approves draft financial statements and consolidated financial statements as at 31 December 2021

UniCredit: bod approves draft financial statements and consolidated financial statements as at 31 December 2021

The UniCredit Board of Directors announced yesterday evening that it had approved the project of
financial statements and consolidated financial statements at 31 December 2021.

Based on what was already defined by the Board of Directors at the time of approval of the results as at 31 December 2021 and disclosed to the market on 28 January
last, the Board of Directors approved:

the draft separate and consolidated financial statements as at 31 December 2021, which record a net result of 10,366 million euros for UniCredit SpA and 1,540 million euros at the consolidated level;

the Illustrative Reports of the Directors to be submitted to the Shareholders’ Meeting – scheduled for April 8 – relating to the proposals for: approval of the UniCredit SpA 2021 financial statements; allocation of UniCredit SpA’s profit for the year 2021 which, among other things, provides for the distribution of a cash dividend of Euro 1,170,046,000.00, corresponding to 0.5352 per share; purchase of UniCredit SpA treasury shares corresponding to a total outlay of up to a maximum of Euro 2,579,954,000.00.

Subject to the approval of the Shareholders’ Meeting: the distribution by cash dividend has an ex-dividend date of 19 April 2022, a record
date April 20, 2022 and payment date April 21, 2022;

The Company intends to launch the treasury share purchase program as soon as it has also obtained the authorization of the European Central Bank.
