Farmaè buys 100% of AmicaFarmacia

Farmaè – company active in the e-retailing of health and wellness products, listed on AIM Italia – announced that it had signed a binding framework agreement for the acquisition of 100% of AmicaFarmacia, an e-commerce channel connected to the Madonna della Neve Pharmacy at Bagnolo Piemonte (CN) for the sale, among others, of over-the-counter drugs without prescription. The objective of the operation is to create the first group in Italy operating in the distribution of over-the-counter drugs and health products, with aggregate revenues that in 2020 exceeded 93 million euros.

The overall valuation of the online company is therefore equal to 34.5 million euros and the value of the transaction is 39 million euros.

In 2020 AmicaFarmacia recorded a turnover of 27.8 million euros, up 34% compared to the previous year, ranking second, according to IQVIA, among the online operators of Health & Wellness. EBITDA was positive 30 thousand euros while the net result was negative for 310 thousand euros.

The operation envisages, as a preparatory activity, the partial demerger of the assets of AmicaFarmacia by attributing the business branch dedicated to online marketing and the Bagnolo Piemonte parapharmacy to MDF Holding, a newly established company with capital entirely held by Marco Di Filippo, founder of AmicaFarmacia.

Following the completion of the demerger, Farmaè will purchase 100% of the share capital of AmicaFarmacia from Marco Di Filippo and will approve a capital increase in favor of MDF Holding which will be, at the same time, released by the latter by transferring the company online.
