The Italian division of Vodafone is about to pass into the hands of Swisscom. The confirmation comes from the telco itself, which declared in a statement that it is ready exclusive negotiations with the Swiss telecommunications company for one potential sale. Nothing has yet been decided, it should be noted, the talks between the two companies continue and, if everything ends positively, the Vodafone Group will receive a cash consideration equal to 8 billion euros.

Vodafone has been in discussions with various parties to explore market consolidation options in Italy and believes that this potential transaction offers the best combination of value creation, upfront payment of cash consideration and transaction certainty for Vodafone shareholders.

The discussions to which Vodafone refers mainly concern iliadwhich is good Twice he attempted takeover receiving a negative response in both cases. In the last one, the French operator had proposed the creation of a 50% NewCo with the payment to Vodafone of 6.6 billion euros to be paid in cash plus 2 billion euros for shareholder financing. Compared to the first offer, in this relaunch iliad had added as a condition the absence of the right of option on Vodafone’s participation in the NewCo.

Vodafone commented on the refusal as follows:

In December we communicated that we are exploring options with several parties in Italy. We have stopped discussions with iliad while we continue discussions with other parties.

Now we continue with Swisscom, a track that should be considered decidedly hot. As Vodafone itself specifies, however, “there is no certainty that a settlement will be agreed“. Further press releases will follow.
