by admin

MILAN – Enel officially says goodbye to its share in Open Fiber. The company communicated this in a note, adding that the contract relating to the sale a Macquarie Asset Management 40% of Open Fiber’s share capital provides for a consideration of 2,120 million euros, including the transfer of 80% of the Enel portion of the ‘shareholders’ loan’ granted to Open Fiber, including accrued interest.

In line with what has already been announced to the market – the communication continues -, the contract provides that the aforementioned consideration will be increased at an annual rate of 9% calculated from 1 July 2021 and up to the closing of the transaction. The contract relating to the transfer a Cdp Equity of 10% of Open Fiber’s share capital, in turn, provides for a consideration of 530 million euros, including the transfer to Cdpe of 20% of the Enel portion of the ‘shareholders’ loan’ granted to Open Fiber, including accrued interest.

Once the transaction is completed, the balance of powers within the company also changes, with Cassa Depositi e Prestiti, already 50% equal shareholder, which thanks to the new stake acquired will rise to 60% becoming the majority shareholder.
