The shareholders’ meeting of Intesa Sanpaolo, in which 56.02% of the capital took part, appointed the new board of directors and elected Gian Maria Gros-Pietro Chairman and Paolo Andrea Colombo Deputy Chairman.
The list presented by the consultation agreement between the foundations, which also confirmed the CEO, Carlo Messina, received the vote of 76.5% of the share capital, while 22.76% chose the team presented by Assogestioni.
The board will therefore include, in addition to Gros-Pietro and Messina, Paolo Andrea Colombo, Franco Ceruti, Paola Tagliavini, Liana Logiurato, Luciano Nebbia, Bruno Picca, Livia Pomodoro, Maria Alessandra Stefanelli, Bruno Maria Parigi, Daniele Zamboni, Maria Mazzarella Anna Gatti, Fabrizio Mosca, Milena Teresa Motta, Maria Cristina Zoppo, Alberto Maria Pisani and Roberto Franchini.
Green light also to the 2021 financial statements and to the distribution to shareholders of a final dividend of 7.89 cents per share, corresponding to a payout ratio equal to 70% of the consolidated net profit.
The shareholders’ meeting also authorized the board of directors to purchase treasury shares, equal to the amount of the 2019 dividends not distributed to shareholders based on the recommendations made by the European Central Bank. The authorization was granted for a maximum of Intesa Sanpaolo ordinary shares corresponding to a maximum total outlay of 3,400 million euros and, in any case, not exceeding 2,615,384,615 Intesa Sanpaolo ordinary shares, up to the detachment date of the relative dividend. to the financial statements which will close on 31 December 2022. Five members of the board of directors have also been appointed as members of the management control committee. They are Alberto Maria Pisani (President), Fabrizio Mosca, Milena Teresa Motta, Maria Cristina Zoppo and Roberto Franchini.
